1. Purpose and Scope
This Intellectual Property Policy explains the ownership, permitted use, protection and reporting of intellectual property and intellectual-property-related content used on or through Suffle Online.
It applies to Suffle's brand and platform content, seller product listings, product images, customer reviews, uploaded documents and media, AI-generated content, software, designs, trademarks, logos, text and other protected material.
This Policy supplements the Terms & Conditions, Privacy Policy, Reviews & Ratings Policy, Suffle AI Terms, Seller Terms and other applicable policies.

3. Intellectual Property Covered
Intellectual property may include trademarks, service marks, logos, trade names, domain names, copyright, software code, databases, designs, graphics, photographs, videos, written content, user interfaces, layouts, compilations, trade dress, confidential know-how and other rights recognised under applicable law.
Ownership of a particular item depends on its source, applicable law, contractual arrangements and the rights held by the relevant owner.
4. Suffle-Owned Intellectual Property
Subject to applicable third-party rights, Suffle Online and/or Naucera Travel Private Limited owns or is authorised to use the Suffle name, logos, branding, website design, software, platform interfaces, original content, graphics, databases, compilations and other proprietary materials created or lawfully licensed for Suffle.
Users and sellers receive only the limited rights expressly granted through the applicable Suffle terms and do not acquire ownership merely by using the platform.
5. Suffle Logo and Brand
The official Suffle logo, brand name, visual identity, tagline and associated brand assets may be protected by intellectual-property rights.
The Suffle logo must not be altered, copied, registered, reproduced or used in a manner that falsely suggests sponsorship, endorsement, partnership or ownership without appropriate authorisation.
Mandatory Suffle branding on Suffle-generated materials, such as shipping labels, does not transfer ownership of the Suffle brand to the seller.
6. Seller Intellectual Property
Sellers retain ownership of intellectual property they own in their products, brands, logos, photographs, descriptions and other content, subject to rights belonging to third parties.
By submitting content to Suffle, the seller must have the rights and permissions necessary to provide and use that content for the marketplace purposes described in the Seller Terms.
Sellers must not upload content they know or reasonably believe infringes another person's rights.
7. Seller Licence to Suffle
To operate the marketplace, a seller grants Suffle the permissions reasonably necessary to host, reproduce, display, format, resize, transmit, cache, index and otherwise use seller-provided product content for listing, search, discovery, seller storefronts, orders, customer support, analytics, moderation and other marketplace operations.
This licence is intended to be non-exclusive and limited to the purposes necessary to operate and improve the Suffle marketplace, subject to the applicable Seller Terms and law.
Suffle does not acquire ownership of the seller's underlying intellectual property merely because the seller lists it on Suffle.
8. Seller Responsibility for Rights
Sellers are responsible for ensuring that product names, descriptions, photographs, videos, logos, trademarks, certifications, brand references and other listing materials are accurate and lawfully usable.
Where a seller represents that it is an authorised reseller, distributor, brand owner or manufacturer, the seller must have the corresponding rights and supporting documentation where required.
Suffle may request evidence of rights or authorisation and may restrict a listing pending verification.
9. Customer-Submitted Content
Customers may submit reviews, photographs, videos, customization designs, documents, messages and other materials.
Customers retain ownership of rights they hold in their content, subject to any rights granted to Suffle through the applicable terms and the purpose for which the content is submitted.
Customer-uploaded customization files are private to the relevant request/order and must not be treated as public product media unless the customer separately authorises such use.
10. Licence for Customer Content
Where necessary to provide a requested feature, the customer grants Suffle a limited, non-exclusive licence to host, process, reproduce, transmit, display or otherwise use the submitted content for that feature and related service operations.
For example, a customer customization image may need to be displayed to the relevant seller to produce the ordered item.
This licence does not give Suffle ownership of the customer's underlying intellectual property.
11. Reviews and Ratings
Review and rating content is governed by the Reviews & Ratings Policy.
Users should submit only content they own or are authorised to use.
Suffle may use and display submitted review content as reasonably necessary to operate the review and marketplace systems, subject to applicable terms and law.
12. Product Images and Marketplace Media
Sellers should upload authentic product images or images they are authorised to use.
Product showcase images are distinct from customer customization images.
Suffle may technically process marketplace images for resizing, compression, formatting, moderation, security, search or presentation.
13. AI Image Enhancement
Where Suffle provides AI image enhancement, the tool may improve lighting, sharpness, background, crop, centering or marketplace presentation of an actual seller-provided product image.
AI image processing must not materially misrepresent the actual product, brand, logo, colour, size, accessories, certifications or other factual characteristics.
The original image should be preserved, and the seller should be able to select the original or an appropriate enhanced/showcase version.
14. AI-Generated Content
Suffle AI may generate text, summaries, descriptions, promotional drafts, messages, recommendations or other content where a feature permits.
AI output may be subject to intellectual-property rights, third-party rights and applicable law. Users should review AI-generated content before publication or commercial use.
AI must not be used to create or publish fabricated trademarks, certifications, endorsements, testimonials, reviews or other misleading claims.
15. No Automatic Ownership of AI Output
AI-generated content does not automatically become Suffle-owned merely because Suffle's AI generated it.
Ownership, licensing and enforceability of AI-generated material may depend on applicable law, the source materials, third-party rights, the AI technology provider's terms and the nature of the output.
Users should not assume that AI-generated material is automatically free of third-party rights or eligible for exclusive protection.
16. Copyright Notices and Attribution
Where content is protected by copyright or requires attribution, users and sellers should preserve required notices and comply with applicable licence conditions.
Suffle may provide attribution or copyright information where required by law, licence terms or the relevant content owner.
17. Third-Party Trademarks and Brands
Third-party names, logos and trademarks displayed on Suffle may belong to their respective owners.
Reference to a brand or product on Suffle does not by itself imply that Suffle owns, endorses or is affiliated with that brand.
Sellers must not use third-party trademarks in a misleading manner or imply an unauthorised relationship.
18. Software and Platform Rights
The Suffle website, application, APIs where provided, database structure, interface design, workflows, system architecture, proprietary configuration and software are protected by applicable intellectual-property laws and contractual rights.
Except where expressly permitted, users must not copy, modify, reverse engineer, decompile, scrape, reproduce, distribute, sell, lease or create derivative works from Suffle's proprietary platform materials.
19. Prohibited Intellectual Property Uses
Users and sellers must not upload, sell, advertise, distribute or publish content that infringes another person's copyright, trademark, design, patent, trade secret or other intellectual-property rights.
Prohibited activity includes counterfeit goods, unauthorised brand use, pirated software/media, copied product photographs or descriptions used without permission, fake certificates or documents and misleading claims of ownership or authorisation.
20. Counterfeit and Infringing Products
Suffle may restrict or remove products suspected of being counterfeit or infringing.
Sellers may be required to provide invoices, authorisation letters, brand documentation, registration details or other evidence where appropriate.
Final legal determination of infringement may depend on competent authorities or courts; Suffle may nevertheless take platform-level protective action based on credible reports or risk.
21. Intellectual Property Complaints
A rights holder may report suspected infringement through Suffle's available support/grievance channel.
Reports should provide sufficient information to identify the protected work or mark, the allegedly infringing material, the complainant's rights or authority and the location of the relevant Suffle content.
Where appropriate, Suffle may request additional evidence before taking action.
22. Review and Investigation
Suffle may review reported content, seller information, transaction records and supporting documents to assess an intellectual-property complaint.
Where appropriate, Suffle may contact the seller or uploader for clarification or evidence.
Investigations should respect applicable privacy, confidentiality and due-process requirements.
23. Notice, Restriction and Removal
Where Suffle determines that content violates this Policy, applicable law, a valid rights complaint or marketplace rules, it may restrict visibility, suspend a listing, remove content, require changes, suspend a seller or take another proportionate action.
Actions may also be taken where content presents a credible counterfeit, infringement or legal-compliance risk even before a final court determination, subject to applicable law and internal procedures.
24. Counter-Notice or Seller Response
Where Suffle provides such a process, a seller or uploader may submit a response or counter-notice with relevant evidence of ownership, licence or authorisation.
Suffle may review the response and determine appropriate platform action.
Nothing in this Policy prevents a rights holder or seller from pursuing remedies available under applicable law.
25. Repeat Infringement
Suffle may take stronger action against accounts or sellers associated with repeated credible intellectual-property violations.
Measures may include listing restrictions, removal, suspension or termination, depending on the seriousness and applicable rules.
26. Confidential Information and Trade Secrets
Users and sellers must not upload or disclose another person's confidential information or trade secrets without lawful authority.
Customer customization files, seller compliance documents and private business records should be handled according to the applicable privacy and security controls.
Suffle may restrict access to confidential material even where the material is part of an intellectual-property dispute.
27. Domain Names and Digital Assets
Suffle's domain names, subdomains, official social-media identities and other digital brand assets may be protected by intellectual-property or related rights.
Users must not register confusingly similar domains, social accounts or digital identities intended to impersonate Suffle or create a false association.
28. Marketplace Storefronts
Seller storefronts hosted by Suffle may display seller-provided branding and content under the seller's rights and the licence granted for marketplace operation.
A seller storefront does not grant the seller ownership of Suffle's platform, domain, templates, underlying software or mandatory Suffle branding.
Sellers must not present a Suffle-hosted storefront as an independently owned Suffle platform.
29. Copyright and Content in Customer Customisation
Customers are responsible for ensuring that designs, photographs, logos, artwork, text and other files supplied for customization are lawful and authorised.
A request to print or produce customer-supplied content does not mean Suffle or the seller has verified ownership or permission.
Suffle or the seller may refuse a customization request where there is a credible intellectual-property, counterfeit, unlawful-content or rights concern.
30. Intellectual Property and AI Training / Improvement
Suffle should not assume that customer or seller content may be used for unrelated AI training merely because it was uploaded to the platform.
Any use of personal data or submitted content for AI improvement or other secondary purposes must be governed by the applicable privacy notice, contractual terms, permissions and law.
Where a third-party AI provider is used, its applicable data-use and intellectual-property terms should be evaluated before enabling the relevant feature.
31. No Transfer of Rights by Mere Use
Using Suffle, viewing a product, purchasing an item or accessing a seller storefront does not transfer ownership of Suffle's intellectual property or a seller's intellectual property to the customer.
Any transfer or licence of intellectual property must arise from an express agreement or applicable legal right.
32. Third-Party Content and Links
Suffle may display or link to third-party content, services or websites.
Third-party content remains subject to the rights and terms of its respective owner or provider.
Suffle does not guarantee that third-party material is free of infringement or that a third-party link grants any licence to use protected content.
33. Enforcement and Cooperation
Suffle may cooperate with lawful requests from rights holders, courts, regulators, law-enforcement authorities or other competent bodies.
Where legally required, Suffle may preserve relevant records, restrict content or provide information through appropriate lawful procedures.
34. Relationship with Other Policies
This Policy should be read with the Terms & Conditions, Privacy Policy, Reviews & Ratings Policy, Suffle AI Terms, Seller Terms / Seller Agreement, Prohibited & Restricted Products Policy, Custom & Personalised Products Policy and Grievance Redressal Policy.
Where a specialised policy provides more specific intellectual-property or content rules, that policy applies in addition to this Policy.
35. Policy Changes
Suffle may update this Policy as marketplace features, AI functionality, content systems, legal requirements or intellectual-property practices change.
The current effective version should be maintained through Suffle's central legal/policy management system.
36. Legal and Implementation Note
This Policy describes Suffle's intended intellectual-property governance framework. Actual complaint, notice, counter-notice, removal and seller-verification procedures should be implemented consistently with applicable Indian law and the platform's technical capabilities.
This Policy is not a legal determination that any particular content is infringing or non-infringing.
This Policy should be reviewed by qualified Indian intellectual-property and e-commerce counsel before publication and periodically thereafter.
Critical Intellectual Property Rules
· Users and sellers must upload only content they own or are authorised to use.
· Seller product content remains the seller's intellectual property unless otherwise agreed; Suffle receives only the licence needed to operate the marketplace.
· Customer customization files remain private to the relevant request/order and are not automatically public product media.
· Counterfeit goods, pirated content and unauthorised use of third-party brands are prohibited.
· Suffle may restrict or remove credible infringing or counterfeit content and may suspend repeat infringers.
· AI-generated content is not automatically free of third-party rights or automatically owned by Suffle.
· Use of customer/seller content for unrelated AI training or secondary purposes must be governed by applicable privacy, contractual and legal requirements.
