1. INTRODUCTION

Welcome to Suffle Online, an AI-powered multi-vendor marketplace operated by Naucera Travel Private Limited.

These Terms & Conditions (“Terms”) govern your access to and use of the Suffle Online website, marketplace, applications, seller services, shopping services, AI features, ordering systems, payment facilities, communication features and other services made available through Suffle.

By accessing, browsing, registering, purchasing, selling, uploading content, creating or participating in an order, or otherwise using Suffle, you agree to these Terms and the other policies applicable to the services you use.

If you do not agree with these Terms, you should not use Suffle.

3. DEFINITIONS

3.1 “Suffle”, “we”, “us” or “our” means Naucera Travel Private Limited and the Suffle Online platform operated by it.

3.2 “User”, “Customer”, “you” or “your” means any person accessing or using Suffle.

3.3 “Seller” means an individual, business, merchant, brand, manufacturer, trader, local business, service provider or other entity approved to offer products or services through Suffle.

3.4 “Marketplace” means the multi-vendor marketplace operated through Suffle.

3.5 “Product” includes physical products, customized products, personalized products, made-to-order products, local products, services, experiences and other offerings permitted on Suffle.

3.6 “Order” means a transaction created through the Suffle Order System after the applicable payment has been successfully verified, subject to the applicable transaction flow.

3.7 “Master Order” means the overall customer order that may contain products from one or more sellers.

3.8 “Seller Sub-order” means the portion of a Master Order associated with an individual seller.

3.9 “Suffle AI” or “Super AI” means the AI-powered functionality provided by Suffle for supported search, discovery, recommendations, product assistance, shopping assistance, research, tracking assistance and other permitted purposes.

4. SUFFLE MARKETPLACE

Suffle operates a technology-enabled multi-vendor marketplace.

Customers may discover products and services offered by independent sellers through Suffle.

Unless expressly stated otherwise:

·       Suffle is not the manufacturer of products sold by sellers.

·       Suffle is not the owner of products listed by sellers.

·       Suffle does not independently manufacture products offered by sellers.

·       Sellers are independently responsible for the products and services they offer.

·       Sellers are responsible for the accuracy of their product information.

·       Sellers are responsible for applicable product-specific warranties and guarantees.

·       Sellers are responsible for fulfilment and shipping obligations applicable to their products.

·       Sellers are responsible for applicable licences, registrations, certifications and legal compliance.

Suffle provides marketplace technology and related services including discovery, search, seller storefronts, ordering, payment collection, order management, communication, tracking management, customer support and other functionality made available from time to time.

5. ELIGIBILITY AND ACCOUNT

You may use Suffle only if you are legally capable of entering into applicable transactions under Indian law and any other applicable law.

You agree to provide accurate, current and complete information when creating or maintaining an account.

You are responsible for activity carried out through your account and for maintaining reasonable security of your account credentials.

You must not: create fraudulent accounts; impersonate another person or entity; provide false information; use another person's account without authorization; attempt unauthorized access; circumvent security controls; or use Suffle for unlawful activities.

Suffle may restrict or suspend an account where there is a reasonable basis to believe that the account is being misused or these Terms are being violated.

Detailed account, security and deletion provisions are covered by the applicable Account Deletion & Data Retention, Security & Trust, and Acceptable Use policies.

6. SELLER REGISTRATION AND APPROVAL

A user may apply to become a Seller through Suffle.

Seller registration may require information relating to identity, business, business type, address, PAN, GST, business registration, selling categories, selling areas, settlement information, storefront and applicable compliance documents.

Requirements may vary depending upon the seller, category, product and applicable legal requirements.

Not every seller or product will require the same documents.

Seller verification may include AI-assisted document and information review, but final seller approval remains subject to Suffle's designated administrative review process.

Seller approval does not automatically approve every product submitted by that seller.

Seller approval and product approval are separate processes.

7. SELLER CATEGORY ELIGIBILITY

A Seller may be required to obtain approval for one or more categories or subcategories.

Category eligibility may be independently requested, under review, approved, rejected, suspended, expired, subject to additional information, or subject to re-verification.

A seller may receive approval for some categories while other requested categories remain pending or are rejected.

Sellers may not sell products in categories for which they are not authorized or eligible through Suffle.

8. PRODUCT LISTING AND APPROVAL

Products may be required to undergo a separate approval process.

A product may be reviewed for category eligibility, product information, attributes, variants, images, pricing information, compliance requirements, seller eligibility, marketplace rules and prohibited/restricted-product requirements.

A product may be processed through a workflow such as: Draft → Seller Review → Submitted → AI/Admin Review → Approved → Published.

Only products that satisfy Suffle's applicable requirements may become publicly purchasable.

9. PRODUCT INFORMATION

Sellers are responsible for the accuracy and completeness of information submitted for their products.

Depending upon the product, information may include product name, brand, description, images, specifications, size, colour, weight, dimensions, ingredients, material, flavour, shape, model, variants, MRP, selling price, tax information, warranty information, return eligibility, replacement eligibility, country of origin and other applicable information.

Sellers must not knowingly submit misleading, deceptive, inaccurate or materially incomplete information.

10. PRODUCT IMAGES AND AI-ASSISTED CONTENT

Sellers may upload actual product images and may use Suffle's supported AI tools to assist with product presentation.

AI image tools may assist with background enhancement, lighting improvement, cropping, centering, quality enhancement and marketplace showcase presentation.

AI tools must not be used to materially misrepresent the actual product.

Sellers remain responsible for reviewing and approving the final product information and images before submission.

Detailed AI image and AI assistance rules are governed by the applicable Suffle AI Terms and marketplace product policies.

11. PRODUCT ATTRIBUTES AND VARIANTS

Suffle may provide centrally configured product attributes and variant options, including size, colour, flavour, shape, weight, material, pack size, model and configuration.

The available attributes and variants may differ by category and product type.

Sellers may be permitted to request additional values for existing attributes.

New reusable values or marketplace configuration may require administrative approval.

Sellers may not independently create unrestricted global marketplace attributes.

12. CUSTOM AND PERSONALISED PRODUCTS

Suffle may support products that require customization or seller approval before purchase, including cakes, banners, personalized gifts, printed products, customized clothing, personalized designs, made-to-order products and local customized products.

Where supported, customers may submit customization details or files.

The applicable seller may approve the request, request changes, reject the request, confirm a customized price or confirm fulfilment arrangements.

Approval of customization does not itself constitute order confirmation.

Where a final price is required, the customer must be shown the applicable final amount before payment.

13. SELLER SELLING AREAS AND SERVICEABILITY

Sellers may define where they are willing and able to sell products. Selling areas may be configured by country, state, district, pincode or other permitted geographic rules.

Products may also have product-specific selling-area settings.

Product serviceability may depend on customer location, seller selling area, product selling area, product type, seller status, product status and fulfilment method.

A product outside the applicable serviceable area should not be represented as purchasable for that customer.

Changing a seller's current selling area does not retrospectively alter historical orders.

14. SELLER STOREFRONTS

Approved sellers may receive a Suffle-hosted seller storefront.

A storefront may display seller/business name, logo, description, banner, approved products, categories, ratings and reviews, selling areas, shipping information, return information and other permitted public information.

Private information such as KYC records, bank details and confidential compliance documents will not be publicly displayed merely because a seller has a storefront.

15. SEARCH AND PRODUCT DISCOVERY

Customers may search and discover products using Suffle's marketplace search and discovery systems.

Search and discovery may use search relevance, category, product information, availability, serviceability, seller status, product status, customer location, customer search intent, ratings/reviews, popularity, recency, promotional configuration and other configured marketplace parameters.

16. CART AND MULTI-SELLER PURCHASES

Customers may add products from multiple sellers to a single shopping cart.

Where supported, Suffle may create a Master Order for the overall customer transaction and Seller Sub-orders for individual seller-specific portions.

Each seller will generally have access only to information necessary to fulfil and manage its own sub-order, subject to applicable functionality and legal requirements.

17. PRICING

Product prices are determined by the applicable seller unless a price is otherwise expressly provided by Suffle.

Depending on the product, the amount payable may include product price, applicable taxes, shipping/delivery charges, customization charges and other disclosed charges.

Where the final amount can be determined before payment, Suffle will display the applicable payable amount before payment.

Where a customized product requires seller confirmation or quotation, the final payable amount may be determined only after that process.

Suffle does not guarantee that a seller's price will remain unchanged.

18. SHIPPING AND DELIVERY

Shipping and delivery arrangements may differ between sellers and products.

Sellers may configure permitted shipping models including shipping included in product price, free shipping, fixed shipping, pincode-based shipping, zone-based shipping, weight-based shipping, quantity-based shipping, order-value-based shipping and seller-defined shipping slabs.

Sellers are generally responsible for packing, dispatch, courier selection, shipment information and delivery coordination.

Suffle provides order and shipping-management functionality but does not automatically act as the physical courier for every transaction.

19. LOCAL DELIVERY AND CUSTOMER PICKUP

Where supported by a seller, products may be fulfilled through home delivery, customer pickup or both.

A pickup order may progress through statuses such as Order Confirmed → Preparing → Ready for Pickup → Picked Up → Completed.

The applicable seller may specify pickup requirements.

20. PAYMENT

Marketplace payments are collected through Suffle's designated payment infrastructure. Suffle currently uses Razorpay for marketplace payment processing.

Sellers do not connect their own payment gateway to collect marketplace payments through Suffle.

Cash on Delivery is not offered unless Suffle expressly enables it for a particular transaction or program.

Payment processing may be subject to the applicable payment provider's terms and policies.

21. PAYMENT VERIFICATION AND ORDER CONFIRMATION

THIS IS A FUNDAMENTAL MARKETPLACE RULE.

An order is not confirmed merely because the customer completed checkout, a payment page was opened, the customer clicked the payment button, a frontend payment screen displayed success, a payment request was generated, a seller approved a customization, or a seller approved a manually created order.

The applicable payment must be successfully verified by Suffle on the server side before the transaction becomes a confirmed order.

Suffle may use server-side payment verification, payment-provider webhooks, signature verification, idempotency, duplicate-event protection and payment status reconciliation.

Before verified payment: Payment Pending / Unconfirmed.

After verified payment: Payment Paid → Order Confirmed.

No fulfilment, seller settlement eligibility or final order-confirmation communication should be treated as effective before successful payment verification.

A failed, expired, cancelled or unverified payment does not confirm an order.

22. SELLER-ASSISTED / MANUAL ORDERS

Approved sellers may create an order through Suffle for a customer who contacted the seller through WhatsApp, telephone, social media, walk-in or other permitted channels.

Creating a manual order does not itself confirm the order.

Where customer payment is required, the seller may generate a Suffle/Razorpay payment request.

The order remains payment pending until payment is successfully verified.

After verified payment, the same central Suffle Order System may be used for order confirmation, fulfilment, shipping, tracking, returns, refunds, settlement and notifications.

Suffle does not maintain a separate manual-order system outside the central order architecture.

23. ORDER FULFILMENT

Following verified payment and order confirmation, the applicable seller is responsible for fulfilling the order in accordance with the applicable seller and product terms.

Seller fulfilment may include preparing the product, packing, dispatch, local delivery, courier handover, pickup preparation and return coordination.

Sellers must provide accurate order and shipment information.

24. ORDER TRACKING

Suffle may provide centralized order and shipment tracking.

Tracking information may come from seller-entered information, courier information, authorized integrations, imported information or other verified sources.

Suffle will not represent tracking information as live or real-time unless the underlying source actually supports such status.

Suffle does not guarantee courier performance or delivery timing.

25. CANCELLATION, RETURNS, REPLACEMENTS AND REFUNDS

Customers may have cancellation, return, replacement and refund rights depending on product type, seller policy, product condition, order status, customization, applicable timelines and applicable law.

Customized, personalized and made-to-order products may have different cancellation or return conditions where permitted by applicable law.

26. REFUND PROCESSING

Where a refund is approved, Suffle may initiate the applicable refund through the relevant payment mechanism.

A refund request, refund initiation or frontend status does not necessarily mean the refund has been successfully completed.

Refund completion must be based on the applicable payment-provider or Suffle financial status.

Partial refunds may be supported where applicable.

27. SELLER COMMISSION AND SETTLEMENT

Suffle may charge sellers commissions and/or other applicable marketplace fees.

Commission structures may be configured based on category, subcategory, product, seller or other applicable marketplace rules.

Where required, a seller may need to accept applicable commission terms before listing products in a category.

Historical transactions may retain the commission terms applicable when those transactions were created.

Seller settlement may be affected by marketplace commission, refunds, cancellations, chargebacks, adjustments, disputes and other applicable financial events.

28. SELLER RESPONSIBILITIES

Each seller is responsible for complying with applicable laws and marketplace requirements relating to its business, products and services.

Seller responsibilities may include accurate product information, product authenticity, product quality, applicable licences, applicable certifications, applicable taxes, packaging, dispatch, delivery, warranty obligations where applicable, return/replacement obligations, customer support, intellectual-property rights and product safety requirements.

Sellers must not use Suffle to conduct unlawful or prohibited activities.

29. REVIEWS AND RATINGS

Customers may be permitted to provide ratings and reviews.

Reviews must be genuine and must not be used to manipulate marketplace rankings, create fake customer experiences, harass sellers or customers, publish unlawful content, infringe intellectual-property rights, or publish malicious or deceptive information.

Sellers must not manipulate reviews or ratings.

30. PROMOTIONS AND OFFERS

Suffle and/or sellers may offer discounts, coupons, promotional campaigns, seller offers, product offers and other promotional benefits.

Each promotion may have separate eligibility conditions, validity periods, usage limits, product restrictions, customer restrictions and seller restrictions.

Promotions are subject to their applicable terms.

31. SUFFLE AI

Suffle provides AI-powered functionality as part of its marketplace and digital services.

Suffle AI may assist with product discovery, product search, product comparison, recommendations, shopping assistance, product research, seller product assistance, marketplace navigation, order-related assistance, tracking assistance and other supported functions.

AI-generated information is intended to assist users and should not automatically be treated as a guaranteed statement of fact.

32. NO FABRICATION OF MARKETPLACE INFORMATION

Suffle's AI and marketplace systems should not represent unverified information as confirmed information.

This includes, where applicable, price, stock, availability, delivery status, tracking, payment status, refund status, seller approval, product approval, certifications, warranty, product specifications, discounts and offers.

Where verified system or provider information is available, the applicable verified information should be used.

33. CUSTOMER CONTENT

Customers may submit reviews, photographs, designs, text, customization instructions, product-related files and other permitted content.

Customers are responsible for ensuring that they have the necessary rights to submit such content.

Users must not upload content that is unlawful, infringing, malicious, deceptive or otherwise prohibited.

34. INTELLECTUAL PROPERTY

Suffle's name, logo, software, user interface, technology, AI systems, graphics, designs, text and other proprietary materials are owned by or licensed to Suffle and are protected by applicable law.

You may not, without appropriate authorization, copy Suffle's proprietary technology, reverse engineer the platform, scrape the platform, reproduce protected materials, sell or redistribute Suffle systems, circumvent technical protections, or use Suffle intellectual property for unauthorized commercial purposes.

Seller-owned intellectual property remains subject to the applicable ownership rights and permissions.

35. SELLER CONTENT

Sellers remain responsible for having the necessary rights to upload product images, product descriptions, logos, brand information, marketing content, product documents and other seller-provided content.

By submitting content to Suffle, the seller grants Suffle the permissions reasonably necessary to operate the marketplace, display the seller's products, provide search and discovery, operate seller storefronts, process orders and provide related marketplace services.

36. PROHIBITED AND RESTRICTED PRODUCTS

Sellers must not list products or services prohibited by applicable law, Suffle policies, payment-provider requirements, marketplace rules or applicable regulatory requirements.

Some products may be permitted only after additional verification, documentation or approval.

Detailed requirements are contained in the Prohibited & Restricted Products Policy.

37. TAXES AND INVOICES

Sellers are responsible for applicable tax obligations relating to their businesses and transactions.

Where legally required, sellers must provide appropriate invoices and tax information.

Suffle may provide marketplace transaction information and reports but does not assume the seller's independent tax obligations.

38. THIRD-PARTY SERVICES

Suffle may rely on third-party service providers for payment processing, authentication, hosting, communication, email, WhatsApp-related services, analytics, shipping/tracking and other technical services.

Third-party services may be governed by their own terms and policies.

Suffle does not control every third-party system and cannot guarantee uninterrupted operation of third-party services.

39. DATA AND PRIVACY

Suffle may collect and process information required to provide its services.

The handling of personal information is governed primarily by the Privacy Policy, Data Security & Protection Policy, Connected Apps & Accounts Policy, Gmail/Email Data Policy, Cookie Policy, AI Tracking / Automated Processing Notice, and Account Deletion & Data Retention Policy, as applicable.

Users should review the relevant policy before using a feature involving personal information or connected accounts.

40. CONNECTED SERVICES

Where Suffle supports connections to external services or accounts, such connections may require user authorization.

Suffle may use supported authentication mechanisms such as OAuth or other authorized methods where available.

Users must not provide sensitive authentication information unnecessarily.

Suffle will not intentionally request or expose highly sensitive credentials such as OTP, UPI PIN, CVV, ATM PIN, Banking PIN or Banking password, except where a lawful and specifically designed secure process expressly requires otherwise.

41. WHATSAPP AND BUSINESS MESSAGING

Suffle may provide WhatsApp and business-messaging functionality.

Use of such functionality must comply with applicable law, Suffle policies, applicable WhatsApp requirements, consent/opt-in requirements, opt-out requirements, messaging restrictions and anti-spam requirements.

Users must not use Suffle for fraudulent, deceptive, abusive or unauthorized messaging.

WhatsApp-related subscription services are separate from marketplace product purchases.

42. ACCEPTABLE USE

You agree to use Suffle only for lawful and permitted purposes.

You must not commit fraud, create fake transactions, manipulate reviews, abuse refunds, abuse promotions, upload unlawful content, attempt unauthorized access, interfere with platform security, scrape data without authorization, circumvent marketplace controls, misuse customer or seller information, sell prohibited products or use Suffle to violate applicable law.

43. SECURITY AND FRAUD PREVENTION

Suffle may use reasonable technical and operational measures to identify and prevent fraudulent activity, unauthorized access, payment abuse, fake orders, duplicate transactions, account abuse, marketplace manipulation and security threats.

Suffle may temporarily restrict transactions or accounts while investigating suspicious activity.

44. ACCOUNT SUSPENSION OR TERMINATION

Suffle may suspend, restrict or terminate access where appropriate, including where these Terms are violated, fraud is suspected, prohibited products are listed, false information is provided, security is threatened, applicable law requires action, seller verification expires or is withdrawn, or repeated misuse occurs.

Termination or suspension does not automatically eliminate obligations relating to existing transactions, refunds, disputes, payments, taxes or other accrued responsibilities.

45. PLATFORM AVAILABILITY

Suffle seeks to provide reliable marketplace services but does not guarantee that the platform will always be available without interruption.

Services may be temporarily unavailable because of maintenance, technical failures, network failures, internet disruptions, payment-provider failures, third-party service failures, security incidents, regulatory requirements or force majeure events.

46. FORCE MAJEURE

Suffle will not be responsible for delays or inability to perform caused by circumstances beyond reasonable control, including natural disasters, government actions, war, civil emergencies, network failures, telecommunications failures, cyber incidents, payment-system failures, courier disruptions, strikes and other force majeure events.

47. PLATFORM ROLE AND SELLER RESPONSIBILITY

Suffle's role as a marketplace operator does not make Suffle the manufacturer, seller, importer, distributor or owner of every product listed by sellers.

The applicable seller remains responsible for its products and services.

Nothing in these Terms is intended to exclude or restrict any responsibility or consumer right that cannot legally be excluded or restricted.

48. CONSUMER RIGHTS

Nothing in these Terms is intended to take away rights available to consumers under applicable law.

Where applicable, customers may have statutory rights relating to defective products, misleading product information, refunds, returns, consumer complaints, seller accountability, grievance redressal and other statutory remedies.

Mandatory rights under applicable law will prevail over inconsistent contractual provisions to the extent required.

49. GRIEVANCE REDRESSAL

Users may raise grievances relating to Suffle's services, including account issues, marketplace issues, seller-related issues, product-related marketplace complaints, orders, payments, refunds, platform issues, privacy/data concerns and other Suffle services.

Where applicable, Suffle may provide a complaint/ticket number for tracking the grievance.

50. SELLER DISPUTES

Where a customer complaint concerns a particular seller or product, Suffle may facilitate communication, order records, payment records, return/refund workflows or other marketplace processes.

The applicable seller remains responsible for seller-specific obligations.

Suffle may intervene in disputes according to its marketplace policies, contractual rights and applicable law.

51. ELECTRONIC COMMUNICATIONS

By using Suffle, you agree that Suffle may communicate electronically regarding necessary service matters, including account activity, security, orders, payments, shipping, delivery, returns, refunds, seller activities, service changes and important policy notices.

Marketing communications will be handled according to applicable consent and communication requirements.

52. POLICIES INCORPORATED INTO THESE TERMS

These Terms operate together with Suffle's other applicable policies, including Privacy Policy; Data Security & Protection; Connected Apps & Accounts Policy; Gmail/Email Data Policy; Ranking & Discovery Transparency; Payment Information; Subscription Policy; Suffle AI Terms; Reviews & Ratings Policy; Refund & Cancellation Policy; Intellectual Property Policy; Referral & Rewards Terms; Cookie Policy; AI Tracking / Automated Processing Notice; Grievance Redressal Policy; Document Policy; Email Communication Policy; Acceptable Use Policy; Account Deletion & Data Retention; Security & Trust Statement; WhatsApp / Business Messaging Policy; Custom & Personalised Products Policy; Local Delivery & Store Pickup Policy; Seller-Assisted (Manual) Orders Policy; Commission & Seller Settlement Policy; Seller Storefront Terms; Accessibility Statement; and Prohibited & Restricted Products Policy.

These policies may contain more specific requirements applicable to particular services.

53. POLICY VERSIONING

Suffle may maintain different versions of its policies. A policy may include version number, effective date, last updated date, applicable scope, previous versions where retained and acceptance records where required.

Where a material change requires renewed acceptance, Suffle may request the applicable user or seller to accept the updated policy before continuing to use the relevant service.

54. CHANGES TO THESE TERMS

Suffle may update these Terms from time to time.

The latest version will be made available through the Suffle website.

Where required, material changes may be communicated through appropriate channels.

The updated version will identify its applicable effective date.

55. NO GUARANTEE OF SELLER BUSINESS RESULTS

Suffle provides marketplace technology and discovery services but does not guarantee that a seller will receive a particular number of orders, achieve a particular revenue, receive a particular ranking, obtain a particular number of customers, receive a particular amount of traffic or achieve a particular business result.

Marketplace visibility may change according to applicable discovery and ranking systems.

56. NO GUARANTEE OF PRODUCT AVAILABILITY

Product listings may become out of stock, paused, unavailable, unserviceable, rejected, suspended or expired.

Suffle does not guarantee continuous availability of every listed product.

57. GOVERNING LAW

These Terms are governed by the laws applicable in India.

Subject to applicable mandatory consumer rights and jurisdictional requirements, disputes relating to Suffle's platform services will be subject to the jurisdiction of the appropriate courts or authorities having jurisdiction over the relevant matter.

Nothing in this clause prevents a consumer from exercising a statutory right or remedy available under applicable law.

58. SEVERABILITY

59. WAIVER

Failure by Suffle to enforce any provision of these Terms does not constitute a permanent waiver of that provision or any other provision.

60. ENTIRE AGREEMENT

These Terms, together with the applicable Suffle policies, seller agreements and transaction-specific terms, constitute the applicable agreement governing your use of Suffle services.

Where a specific policy applies to a particular service or transaction, that policy will be read together with these Terms.

Mandatory provisions of applicable law will prevail where required.
